Terms of Service
These Terms of Service govern your access to and use of Slex Pay products, payment infrastructure, onboarding support, settlement operations, and related merchant services. By submitting an application or using any Slex Pay service, you agree to comply with these terms.
1. Eligibility and Account Activation
- You must provide accurate legal, operational, and ownership information during onboarding and maintain it on a current basis.
- Activation is subject to internal review, partner acceptance, and completion of required KYC, AML, and risk controls.
- Your merchant account may only be used for approved products, business categories, and operating models disclosed during onboarding.
- Slex Pay may request additional documentation at any stage where risk or compliance review requires further validation.
2. Service Scope and Permitted Use
- Slex Pay services are provided for lawful commercial activity only and may not be used for prohibited or restricted categories.
- You must maintain transparent customer-facing terms for pricing, delivery, cancellations, and refunds.
- You must not present misleading product claims, pricing promises, or payment-related statements to customers.
- You are responsible for ensuring all platform integrations, plugins, and API usage remain secure and technically compliant.
3. Commercial Terms, Fees, and Billing
- Transaction fees, payout fees, setup charges, and any service-related costs are communicated through approved commercial correspondence.
- Fees may vary by channel, volume profile, dispute behavior, risk classification, and selected service configuration.
- Slex Pay may revise pricing where network costs, compliance burden, or service scope changes materially.
- Merchants remain liable for valid chargebacks, reversals, penalties, and compliance-related cost recovery where applicable.
4. Setup Fee
A one-time setup fee of PKR 5,000 applies for merchant account processing, documentation handling, technical setup, or partner submission. This fee is treated as a service and processing charge and is strictly non-refundable once the onboarding workflow has been initiated.
For the avoidance of doubt, if any related acquiring partner, banking partner, financial institution, network participant, or other relevant approval entity rejects, declines, defers, or does not approve the merchant application for any reason whatsoever, the setup fee already charged shall remain non-refundable and non-reversible. This is because onboarding resources, compliance review effort, processing activities, and partner submission costs are incurred irrespective of final approval outcome.
5. Settlements, Holds, and Reserves
- Settlement timelines are operational targets and may vary based on channel, bank processing windows, weekends, holidays, and review status.
- Slex Pay may apply temporary holds, rolling reserves, or delayed settlements to mitigate unresolved risk exposure.
- Accounts with elevated dispute, fraud, or compliance concerns may be subject to additional controls before settlement release.
6. Chargebacks, Refunds, and Merchant Liability
- You must respond to disputes within required timelines and provide complete documentary evidence when requested.
- Failure to respond in time or with sufficient proof may result in automatic financial liability for the disputed transaction.
- Refunds and reversals must be managed in accordance with your published policy and applicable payment-network requirements.
7. Compliance and Regulatory Cooperation
- You agree to cooperate with KYC, AML/CFT, sanctions, and transaction-monitoring controls as required by law and policy.
- Slex Pay may request additional records, contracts, invoices, fulfillment evidence, or beneficiary information for compliance review.
- Failure to cooperate may lead to restrictions, suspension, or termination of service access.
8. Suspension, Termination, and Service Continuity
- Slex Pay may suspend or terminate services for policy breach, unlawful activity, excessive risk, or unresolved compliance concerns.
- Termination does not waive outstanding liabilities, including fees, reversals, chargebacks, penalties, and investigative costs.
- Operational access may be restored only after successful corrective review and management approval, where permitted.
9. Limitation of Responsibility
Slex Pay provides technology-enabled payment services and does not guarantee merchant approval outcomes by partner institutions, uninterrupted network availability, or immunity from external financial, legal, or technical events beyond reasonable control.
10. Amendments and Contact
These Terms may be revised from time to time to reflect legal, regulatory, partner, and operational requirements. Updated terms become effective upon publication. Continued use of Slex Pay services after updates constitutes acceptance of the revised terms.
